Service

These Terms of Service ('Terms') govern your access to and use of the Entity Desk platform, website and related services (collectively, the 'Service') provided by Bitstack Labs Limited ('we', 'us', 'our').

By creating an account or using the Service you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and 'you' refers to that organisation.

We may update these Terms from time to time. Material changes will be communicated by email or in-platform notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms.

You must provide accurate, complete information when registering. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service.

You must promptly notify us at support@entitydesk.com if you become aware of any unauthorised access to your account.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or present an unacceptable security or legal risk.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during your subscription term.

You may not: sublicence, resell or make the Service available to third parties; reverse-engineer, decompile or otherwise attempt to derive the source code; remove proprietary notices; use the Service to build a competing product; or use the Service in violation of applicable law.

You agree not to use the Service to upload, transmit, or store data that is illegal, fraudulent, defamatory, or that infringes third-party intellectual property rights.

You agree not to use the Service in a manner that could damage, disable, overburden, or impair our infrastructure.

You are solely responsible for ensuring that your use of the Service complies with all applicable laws, including data protection, anti-money-laundering, and sector-specific regulations in the jurisdictions where you operate.

You retain ownership of all data, records and documents you upload or create in the Service ('Customer Data'). We do not claim any intellectual property rights over Customer Data.

You grant us a limited licence to process Customer Data solely for the purpose of providing the Service to you.

You are responsible for the accuracy and lawfulness of Customer Data and for obtaining any necessary consents from individuals whose data you upload.

On termination or expiry of your subscription, we will make Customer Data available for export for 30 days, after which it may be permanently deleted. See our Privacy Policy for details on retention obligations.

Subscription fees are payable in advance in accordance with the plan you select. All fees are non-refundable except where expressly stated or required by applicable law.

We may increase fees on renewal by giving at least 60 days' written notice. You may cancel before the renewal date if you do not wish to accept the new fees.

Unpaid invoices may result in suspension or termination of access after reasonable notice. You are responsible for all taxes applicable to your subscription.

Each party agrees to keep confidential the other party's non-public, proprietary information ('Confidential Information') and not to disclose it to third parties without prior written consent, except as required by law or as necessary to perform obligations under these Terms.

This obligation does not apply to information that is or becomes publicly known other than through a breach of these Terms, or that was independently developed without reference to the Confidential Information.

The Service, including its software, designs, algorithms and documentation, is owned by Bitstack Labs Limited and is protected by intellectual property laws. These Terms do not transfer any ownership of intellectual property to you.

You grant us permission to use your company name and logo solely to identify you as a customer on our website and marketing materials, unless you opt out by notifying us in writing.

We will use commercially reasonable efforts to provide the Service with an uptime target of 99.5% measured monthly, excluding scheduled maintenance.

THE SERVICE IS PROVIDED 'AS IS' AND 'AS AVAILABLE'. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will meet your specific compliance requirements, that it will be error-free or uninterrupted, or that any defects will be corrected within a particular timeframe.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL BITSTACK LABS LIMITED BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) USD 500.

SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY. IN THOSE JURISDICTIONS THE ABOVE LIMITATIONS APPLY ONLY TO THE EXTENT PERMITTED BY LAW.

You agree to indemnify, defend and hold harmless Bitstack Labs Limited and its officers, directors, employees and agents from and against any claims, damages, losses, costs and expenses (including reasonable legal fees) arising out of: (a) your use of the Service; (b) your Customer Data; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your access immediately if you materially breach these Terms and fail to remedy the breach within 14 days of written notice, or immediately where the breach cannot be remedied.

On termination, your licence to use the Service ceases immediately. Sections on confidentiality, intellectual property, limitation of liability, indemnification and governing law survive termination.

These Terms are governed by the laws of Hong Kong SAR. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.

We encourage you to contact us first at support@entitydesk.com to resolve any dispute informally before initiating formal proceedings.

These Terms, together with our Privacy Policy and any Order Form, constitute the entire agreement between you and Bitstack Labs Limited regarding the Service and supersede all prior agreements.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force.

Our failure to enforce any right or provision does not constitute a waiver of that right.

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations, including in connection with a merger or acquisition, on notice to you.
